Stackin Financial (the “Firm”) is registered with the Securities and Exchange Commission (SEC) as an investment adviser. Brokerage and investment advisory services and fees differ and it is important for you to understand these differences. Free and simple tools are available to research firms and financial professionals at Investor.gov/CRS, which also provides educational materials about broker-dealers, investment advisers, and investing.

WHAT INVESTMENT SERVICES AND ADVICE CAN YOU PROVIDE ME?

We offer non-discretionary investment recommendations and advisory services to certain retail investors (“Clients”) who open an investment account with Stackin Financial and enter into an investment advisory agreement. Stackin Financial interacts with Clients as well as prospective Clients of the Firm solely through an investment services technology platform (the “Platform”). This technology platform is owned and maintained by our parent company, Stackin, Inc. While we do not accept custody of client assets, we work with a qualified custodian.

We offer a limited model investment portfolio recommendation to one, or more, select exchange-trade-funds (“ETFs”) that is not intended to comprise a complete investment program. Each Client is responsible for ultimately deciding whether to accept and act upon the recommendation. We offer dollar-based that include fractional share securities purchases. Fractional shares are partial shares, so instead of owning one or more full shares of a security, you own a fraction of one. With fractional shares, you enter your trade by the dollar amount you have available and get your own portion of a share. The Firm utilizes the Platform to collect information with respect to Clients and prospective Clients and to deliver account notifications and content, and to provide investment recommendations. Upon account opening, the Client will be prompted to complete a series of questions that will be used, in combination with other available Client information collected through the Platform prior to and/or after account opening including banking information, to develop a particular investment recommendation. We do not offer financial planning services, tax, accounting, or legal advice.

 

We require a minimum $5.00 balance to open a Stackin Financial account.

Stackin Financial does not provide continuous and regular supervisory or management services to securities portfolios. The Program is available for, and provided to, individuals who are U.S. citizens, or lawful residents of the U.S. for tax purposes, who have a social security number or ITIN, are located in the United States, and maintain a checking account with a U.S. bank.

WHAT FEES WILL I PAY?

We charge a flat monthly fee based upon the value of the applicable account, paid monthly in advance. Fees range from $2.00 to $100.00 per month. The more assets there are in retail investors accounts, the more retail investors will pay in fees, and the Firm may therefore have an incentive to encourage the retail investors to increase the assets in their accounts. Our offering constitutes a wrap fee program, asset-based fees associated with the wrap fee program will include most transaction costs and fees to a broker-dealer or bank that has custody of these assets, and therefore are higher than a typical asset-based advisory fee. Our fees are separate from any fees or expenses assessed by outside parties including fees related to ETFs and product level fees. We do not receive or share in any compensation related to these outside charges and fees.

You will pay fees and costs whether you make or lose money on your investments, and fees and costs will reduce any amount of money you make on your investments over time. Please make sure you understand what fees and costs you are paying.

When we act as your investment adviser, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they affect the investment advisory services we provide you. Here are some examples to help you understand what this means.

Stackin Financial is a wholly owned subsidiary of Stackin Inc., who owns and maintains the Platform. The Firm and its affiliates and their related persons may participate employee personal trading, and are permitted to buy or sell securities that they also recommend to Clients. There is a possibility that employees might benefit from market activity by Clients in a security held by an employee. The Firm has adopted a Code of Ethics designed to mitigate potential conflicts of interest and improprieties, and maintains records as required under the Advisers Act.

Our financial professionals are compensated through salary and bonus, which is determined based on meeting company goals, individual performance, and growth of business. They do not earn compensation based on the amount of client assets serviced, or other compensation from outside parties in connection with product sales.
